Article I: Name

Section 1.01. Name. The name of this corporation is the POISE Users Group, Inc.
 

Article II: Purpose

Section 2.01. Purposes. The POISE Users Group has two main purposes:
  (a)  To advance the effective utilization of the software products sold by Campus America, Incorporated (hereafter referred to as Campus America) by promoting the interchange of information among the users of Campus America software products through various means, including an annual meeting of members and timely publications and surveys.
  (b)  To provide feedback to Campus America on desired software product modifications.
     

Article III: Members

Section 3.01 Classes of Members. This corporation shall have one class of members. All employees of those colleges, schools, universities, companies and organizations which have any Campus America software products under license are eligible for membership.
Section 3.02 Membership Dues. The annual dues payable to the corporation by members will be in such amounts, and will be payable at such times as may be recommended from time to time by resolution of the Board of Directors and approved by the membership.
     

Article IV: Directors

Section 4.01 General Powers. The business affairs of the corporation shall be managed by its Board of Directors except as otherwise provided by the laws of the state of incorporation or the Bylaws/
Section 4.02 Directors. The Board of Directors, a number which is specified in the Bylaws, shall consist of a number of members and one employee of Campus America (selected by Campus America), who shall serve ex officio, non-voting.
     

Article V: Officers

Section 5.01 Composition. The Officers shall consist of a President, a President-elect, a Treasurer, a Secretary, and such other assistant officers as determined by the Board of Directors from time to time.
     

Article VI: Committees

Section 6.01 General. The Board of Directors may by resolution create such committees as may be deemed by it appropriate to carry out the purposes of this corporation.
     

Article VII: Meeting of Members

Section 7.01 Annual Meeting. An annual meeting of members shall be held at a time and place agreed to by the Board of Directors and Campus America.
     

Article VIII: Alterations, Amendments and Revisions of Articles

Section 8.01 Alterations,
Amendments,
and Revisions of Articles.
This charter may be altered, amended, or revised by a vote of two-thirds of the members present and voting at the annual meeting, provided that written notice of the proposed alteration, amendment or revision has been mailed or delivered to all members at least thirty (30) days in advance of the meeting, and provided further that the proposed amendments as to which proper notice has been given may be further amended at the meeting, but only by a vote of two-thirds of the members present and voting at the meeting.
